| Description | HARVEST COURT INDUSTRIES BERHAD (“HCIB” or “the Company”) - Kuala Lumpur High Court Suite No. : 24NCC-258-07/2014 Syawaras Sdn Bhd vs Harvest Court Industries Berhad & 7 Others |
Reference is made to the Company’s announcements made on 13 August 2014, 14 August 2014 and 13 November 2014 respectively. The Board of Directors of Harvest Court Industries Berhad (“HCIB” or “the Company”) wishes to announce that on 19 November 2014, the High Court had dismissed the Company’s application for an order for the Plaintiff to place the security for the legal cost payable to HCIB in the event HCIB succeed in the case. The High Court further ordered that the Plaintiff will only be entitled to claim the cost incurred by them in opposing the application in the event they succeed in their Originating Summons against HCIB. Meanwhile as for the Plaintiff’s Originating Summons and Notice of Application, the High Court has fixed a further case management date on 25 November 2014 to enable the Plaintiff's solicitor to obtain Plaintiff's instruction as to whether to withdraw its Notice of Application and proceed with its Originating Summons only with the Company’s undertaking not to complete the Sale and Purchase Agreement dated 19 June 2014 pending the Court’s decision on the Originating Summons at High Court. On 25 November 2014, the Plaintiff's solicitor withdrew its Notice of Application with an undertaking by the Company not to complete the Sale and Purchase Agreement dated 19 June 2014 pending the High Court's decision on the Originating Summons at High Court. The Originating Summons has now been fixed for hearing on 4 February 2015. The Notice of Application is for an interim/temporary injunction to stop the Company from taking steps to complete the Sale and Purchase Agreement pending the decision of the Originating Summons. Whilst the Originating Summons is for an injunction to stop the Company from taking steps to complete the Sale and Purchase Agreement pending the outcome of the Companies Commission of Malaysia investigation on any breach of the Companies Act, 1965 by the Company's directors and the decision of the Public Prosecutor as to whether to charge the Company's directors in Court. Further announcement on the development of the above matter will be made to Bursa Malaysia Securities Berhad in due course. This announcement is dated 27 November 2014.
