Description	GHL SYSTEMS BERHAD (“GHL” OR “THE COMPANY”)- LITIGATION BETWEEN E-PAY (M) SDN BHD (“EPYM”), A WHOLLY-OWNED SUBSIDIARY OF E-PAY ASIA PTY LTD ("E-PAY”), WHICH IN-TURN IS A WHOLLY-OWNED SUBSIDIARY OF GHL, AND AUGUSTINE FRANCIS (TRADING AS AF INNOVATIONS CONSULTANTS”) (“AF”)
1. INTRODUCTION 1.1 EPYM has became an indirect wholly-owned subsidiary of GHL on 16 April 2014 after the Company completed the acquisition of the entire ordinary shares in E-PAY on even date (“the Acquisition”). 1.2 As disclosed in Section 3.1(iii) of Appendix II of the Company’s Circular to Shareholders dated 29 September 2014 in relation to the Bonus Issue, AF commenced a legal proceeding against EPYM at the High Court of Malaya in Kuala Lumpur (“High Court”) on 27 February 2013, to claim for unascertained damages for breach of service agreement. Subsequently, EPYM filed a counterclaim against AF to claim for loss of income and profits, amounting to RM2,164,060.57 for non-performance of obligations under the said agreement. On 28 January 2014, the suit proceeded for trial and the High Court dismissed AF’s claim and EPYM’s counterclaim. Following thereon, AF filed an appeal and EPYM filed a cross-appeal against the High Court’s decision at the Court of Appeal. The appeal and cross-appeal have subsequently been fixed for hearing at the Court of Appeal on 27 October 2014. The solicitors representing EPYM in this matter are of the view that EPYM has a reasonable chance to succeed in defending the main suit commenced by AF and in the counterclaim commenced against AF (“the Litigation”). 1.3 The Litigation was inherited from the previous management of EPYM, prior to the Acquisition. 2. UPDATE OF STATUS OF THE LITIGATION Pursuant to Paragraphs 9.03 and 9.04(f) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of GHL wishes to announce that the solicitors representing EPYM had attended the court hearing on 21 January 2015 and the Court of Appeal found no appealable errors and dismissed the appeal and cross-appeal with no order as to costs. 3. EFFECT OF THE LITIGATION The Litigation will not have any material effect on the share capital, substantial shareholders’ shareholding, gearing, net assets per share and earnings per share of GHL group. 4. INTEREST OF DIRECTORS AND MAJOR SHAREHOLDERS AND PERSON CONNECTED WITH THEM None of the Directors and/or major shareholders of GHL and/or any person connected to them have any interest, direct or indirect, in the Litigation.
