PROPOSED ISSUE OF UP TO 50,000,000 EUROPEAN STYLE NON-COLLATERALISED CASH-SETTLED CALL WARRANTS OVER ORDINARY SHARES OF MSM MALAYSIA HOLDINGS BERHAD (“MSM”) (“MSM CW”)

We are pleased to announce the proposed issue by CIMB Bank of up to 50,000,000 European-style non-collateralised cash-settled call warrants over ordinary shares of RM0.50 each in MSM.

The MSM CW is constituted by the Deed Poll dated 3 April 2012 executed by us, as supplemented from time to time. The MSM CW is subject to the terms and conditions of the Base Prospectus dated 8 May 2012, the First Supplementary Base Prospectus dated 30 May 2012, the Second Supplementary Base Prospectus dated 5 October 2012 and the Term Sheet for the MSM CW dated 30 January 2013.

The MSM CW is to be listed on the Structured Warrants Board of Bursa Malaysia Securities Berhad. A summary of the principal terms of the MSM CW is set out in Table 1.
