Description	BANDAR RAYA DEVELOPMENTS BERHAD ("BRDB") TAKE-OVER OFFER BY AMBANG SEHATI SDN BHD (“AMBANG SEHATI” OR “OFFEROR”) TO ACQUIRE ALL THE VOTING SHARES AND OUTSTANDING WARRANTS OF BRDB (“OFFER”)
The Board of Directors of BRDB wishes to inform that BRDB has today received the attached press notice from CIMB Investment Bank Berhad and Newfields Advisors Sdn Bhd, on behalf of the Offeror informing that the Offer for the ordinary shares of RM1.00 each in BRDB ("BRDB Shares") ("Shares Offer") has been accepted by shareholders of not less than nine-tenths (9/10) in the nominal value of BRDB Shares (other than BRDB Shares already held at the date of the take-over offer by the Offeror) as at 5.00 p.m. on 27 September 2012. As set out in Section 5.2 of the offer document for the Offer dated 10 September 2012 ("Offer Document"), the Offeror intends to invoke Section 222 of the Capital Markets and Services Act 2007 ("CMSA") to compulsorily acquire all remaining BRDB Shares for which acceptances have not been received, following which necessary steps will be taken to de-list BRDB. In accordance with Section 222 of the CMSA, the Offeror shall, within 2 months from today, give all shareholders who did not accept the Shares Offer, a notice in the manner prescribed under the Malaysian Code on Take-Overs and Mergers 2010 ("Code"), to inform them of the Offeror's intention to compulsorily acquire their BRDB Shares. As announced on 26 September 2012, Bursa Malaysia Securities Berhad ("Bursa Securities") will suspend the trading of BRDB Shares with effect from 9.00 a.m. on 4 October 2012. The suspension will result in BRDB Shares no longer being traded on Bursa Securities and there will no longer be an active market for the trading of BRDB Shares. The Shares Offer will close at 5.00 p.m. on 4 October 2012 as stated in the notice of extension dated 21 September 2012. No further extension of the closing date for the Shares Offer will be made. Shareholders of BRDB who have not already accepted the Shares Offer and wish to do so are advised to refer to the Offer Document for the details and terms of the Offer and procedures to accept the Shares Offer.
