Reference is made to the Company’s earlier announcements dated 27 February 2009, 27 May 2009, 25 August 2009, 25 November 2009, 25 February 2010, 25 May 2010, 25 August 2010, 25 November 2010, 7 March 2011, 25 May 2011, 26 August 2011, 25 November 2011, 24 February 2012, 24 May 2012, 24 August 2012, 26 November 2012, 27 February 2013, 23 May 2013, 26 August 2013, 26 November 2013, 26 February 2014, 26 May 2014, 25 August 2014, 26 November 2014 and 26 February 2015 on the Memorandum of Understanding (“MoU”) dated 26 February 2009 between the Company’s 70% owned subsidiary, Syarikat Bekalan Air Selangor Sdn Bhd (“SYABAS”) and Construction Industry Development Board (“CIDB”) in respect of the provision of training and development programmes by CIDB to the Bumiputra contractors, suppliers and consultants registered with SYABAS.

The Company wishes to inform the Exchange that the collaboration between SYABAS and CIDB in respect of the above under the MoU dated 26 February 2009 is currently ongoing.

Acquisition of a new indirect 51%-owned subsidiary - Exactwood Sdn. Bhd.

Pursuant to paragraph 9.19(23) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of Master-Pack wishes to inform that the Company’s wholly-owned subsidiary, Master-Pack Sdn. Bhd. had on 26 May 2015, acquired 51 ordinary shares of RM1.00 each, representing 51% equity interest in Exactwood Sdn Bhd (Company No. 1134837-A) (“Exactwood”) for a total consideration of RM51.00 only. Following this transaction, Exactwood became an indirect 51%-owned subsidiary of Master-Pack.

Exactwood was incorporated in Malaysia on 11 March 2015 with an authorised share capital of RM400,000.00 divided into 400,000 ordinary shares of RM1.00 each. The present issued and paid-up share capital of Exactwood is RM100.00 divided into 100 ordinary shares of RM1.00 each. Exactwood is currently dormant and will be principally involved in manufacturing and distributions of paper products and packaging materials.

The above transaction will not have any effect on the Group’s earnings, net assets, gearings, share capital and substantial shareholdings structure for the financial year ending 31 December 2015.

None of the directors and/or major shareholders of the Company and/or persons connected with them have any interest, either direct and/or indirect in the said transaction.
