- PROPOSED APPOINTMENT OF AUDITORS

The Board of Directors of Haisan (“Board”) wishes to announce that further to the recent announcements of the Annual Audited Accounts of the Company for the financial year ended 31 December 2014, the existing auditors of the Company, Messrs. Wong Weng Foo & Co. had indicated in the Directors’ Report that they do not wish to seek re-election as auditors of the Company at the forthcoming Annual General Meeting (“AGM”). In this respect, their term as auditors of the Company shall expire at the conclusion of the forthcoming AGM of the Company.

In consequence thereof, the Company has on 20 May 2015 received a Notice of Nomination from Able Capital Ventures Sdn Bhd, a substantial shareholder of the Company, nominating Messrs. Adam & Co., as auditors of the Company for the financial year ending 31 December 2015 in place of the retiring auditors, Messrs. Wong Weng Foo & Co., and to hold office until the conclusion of the next AGM of the Company, at a remuneration to be agreed by the Board (“Proposed Appointment of Auditors”), and proposing the Proposed Appointment of Auditors as an Ordinary Resolution to be tabled at the forthcoming AGM of the Company to be convened.

The Notice of Nomination will be included in the Annual Report of the Company for the financial year ended 31 December 2014 together with the Notice of AGM, which will be dispatched to the shareholders of the Company in due course.

The Proposed Appointment of Auditors is subject to and conditional upon approval being obtained from the shareholders of the Company at the forthcoming AGM to be convened.

Reference is made to our announcements dated 26 February 2014, 21 March 2014, 20 June 2014, 17 July 2014, 31 July 2014, 15 August 2014, 24 September 2014, 20 November 2014, 10 December 2014, 5 February 2015 and 30 March 2015.

The Company is pleased to announce that it has achieved an amicable settlement of the suit brought by SCA Hygiene Malaysia Sdn Bhd (“SCA”) against Century Total Logistics Sdn Bhd (“CTL”) vide Kuala Lumpur High Court Suit No. 22NCVC-73-02/2014. Pursuant to the settlement, CTL paid a sum of RM1.65 million to SCA, with no admission of liability on the part of CTL. As a result of the amicable settlement, SCA has no liberty to file afresh any similar claims against CTL and no costs were awarded to either party. The amicable settlement allows the Century Group to remain fully focused on the continued growth of its business.
