Contents: 1) Bonus issue of 40,571,429 ordinary shares of RM0.50 each in Freight Management Holdings Bhd ("FMHB") ("Bonus Shares") on the basis of one (1) Bonus Share for every three (3) existing shares of RM0.50 each held in FMHB.
2) Issuance of 24,342,857 free warrants in Freight Management Holdings Bhd ("FMHB") ("Free Warrants") on the basis of one (1) Free Warrant for every five (5) existing shares of RM0.50 each held in FMHB.

3) Retention Money : Where securities are not delivered in time for registration by the seller, then the brokers concerned :-
a) Selling Broker to deduct [ 1/4 ] , of the Selling Price against the Selling Client.
b) Buying Broker to deduct [ 25% ] of the Purchase Price against the Buying Client.
c) Between Broker and Broker, the deduction of [ 1/4 ] of the Transacted Price is applicable.
Remarks : "Bursa Malaysia Securities Bhd would like to clarify that on the basis of settlement taking place on 6 January 2012 with bonus issue of FREIGHT shares of RM1.00 each, any shareholder who is entitled to receive FREIGHT bonus issue shares, may sell any or all of his FREIGHT shares arising from the bonus issue beginning the Ex-Date ( 3 January 2012 ). For example, if Mr X purchases 300 FREIGHT shares on cum basis on 30 December 2011, Mr X should receive 300 shares on 5 January 2012. As a result of the bonus issue, a total of 400 FREIGHT shares will be credited into Mr X's CDS account on the night of 5 January 2012 being the Book Closing Date. Therefore, Mr X can sell the bonus issue shares of 400 on or after the Ex-Date ie from 3 January 2012 onwards."

Please note that there will not be any new issuance of DIALOG-CG on the Entitlement Date pursuant to the Rights Issue.
