We refer to the announcement made on 31 May 2013 in relation to the above matter. The Board of Directors of Uzma Berhad ("Uzma") wishes to announce that the Company has decided to abort its proposal to seek its shareholders' approval for the proposed provision of financial assistance to Sazma Aviation Sdn. Bhd. ("Sazma"), a 40% owned associated company of Uzma Teras Sdn. Bhd., a wholly-owned subsidiary of the Company ("Proposed Provision of Financial Assistance"). The decision to abort the Proposed Provision of Financial Assistance was made after the Board has reassessed the current position of the Group on whether there is a need to pursue on the matter in view that Sazma had on 29 July 2013 initiated the settlement of the advances given by Uzma Group. The Board anticipated that since Sazma is now able to operate independently and is expecting to accept a banking facility to finance its working capital, Uzma Group will not require to provide further shareholders' advances to Sazma. Furthermore, if Uzma Group is required to provide financial assistance to Sazma in a form of corporate guarantee in favour of a financial institution in relation to a banking facility to be secured by Sazma, the amount in aggregate of the financial assistance to be provided by Uzma Group is expected to be below 5% of the Group's net tangible asset. In view that the total amount of provision of financial assistance to be provided to Sazma will not exceed 5% of Uzma Group's net tangible assets at any time, the Company is therefore no longer be required to obtain its shareholders' approval for the Proposed Provision of Financial Assistance as set out in paragraph 8.23(2)(c) of Bursa Malaysia Securities Berhad Main Market Listing Requirements. | |
