The contents of the UMA query is as follows:-
UNUSUAL MARKET ACTIVITY
We draw your attention to the sharp rise in price and high volume in your Company's shares recently.
In accordance with the Corporate Disclosure Policy on Response To Unusual Market Activity pursuant to Rule 9.11 of the Ace Market Listing Requirements of Bursa Malaysia Securities Berhad ("Bursa Securities LR"), you are requested to furnish Bursa Malaysia Securities Berhad ("Bursa Securities") with an announcement for public release after making due enquiry with your directors and major shareholders seeking the cause of the unusual market activity in the Company's shares.
In this respect, you are also required to publicly confirm, amongst others, the following:-
1. whether there is any corporate development relating to your Group's business and affairs that has not been previously announced that may account for the unusual market activity including those in the stage of negotiation/discussion. If yes, kindly provide the details including status of the corporate development to enable investors to make informed investment decision;
2. whether there is any rumour or report concerning the business and affairs of the Group that may account for the unusual market activity and in this respect, you are required to comply with Rules 9.09 and 9.10 of Bursa Securities LR;
3. whether you are aware of any other possible explanation to account for the unusual market activity; and

Query Letter content: We refer to your Company's announcement dated 7 December 2011 in respect of the
aforesaid matter.
In this connection, kindly furnish Bursa Securities immediately with the
following additional information for public release:-
1. Details of the pricing together with justification for the consideration.
2. Value of the minimum 3 million metric tonnes of coall based onits existing
market price.
3. Any joint-venture corporation will be set-up, the terms of cost and profit
sharing and the estimated total cost of project.
4. To provide further details on Permata, including the following:-
(a) Is Permata doing the mining of the coal, to be supplied;
(b) Details of Permata's production or capacity;
(c) Quantify the 3 million metric tones in terms of Permata total production;
(d) Details of the grade of Coal to be supplied.
(e) What is Permata extraction rate/plan and the reserves of coal;
(f) Details of Permata's title to or possession of any of properties, licences
or concessions on the supply of coal.
5. Who does the mining, Permata or others?
6. To provide details of any due diligence carried out on Permata.
7. To provide full details of all the key terms and conditions of the Permata
Agreement.
8. To elaborate on the statement that "Sanichi commits to undertake business
development activities to market and distribute the coal". What kind of
business development activities?
9. In relation to "to market and distribute the coal", please provide details
on the following:-
(a) What expertise does Sanichi has on distribution of coal.
(b) What is the target market of the coal.
(c) What is the profit margin.

10. To provide details of whether there is any deposit being paid to secure
supply of coal or the Agreement. If deposit is paid, to confirm if it is
refundable and under what circumstances.
11. To provide details on the financial effect and impact of the Permata
Agreement on Sanichi.
12. To provide details on the operational effect of the Permata Agreement on
Sanichi.
13. The details of financing requirements and sources of funding to honour the
Permata Agreement. If it is solely from internal generated fund, please
provide details of the internal generated funding.
14. The estimated additional financial commitment required of Sanichi in
"undertake business development activities to market and distribute the coal"
15. The rationale for the transaction, i.e why Sanichi decide to venture into
the distribution of coal.
16. To elaborate on the risk factors, including on entering into the Permata
Agreement, the supply of coal.
17. Given that the Permata Agreement takes effect from 6 December 2011, what is
the expected date of the first shipment and whether the customer(s) have been
identified?
18. Details of the physical delivery mode as contemplated in the Permata
Agreement, i.e. whether the coal will be shipped directly to the customer(s)
from Permata, or Sanichi will receive the coal from Permata for onward delivery
to its customers?
19. To provide details of whether any approval is required for the Permata
Agreement and to clarify why shareholders approval is not required.
20. To clarify if the Permata Agreement would results in 'a diversification in
operations' carried out by Sanichi.
21. To make available for inspection of the Permata Agreement.
