Reference is made to the Company’s announcements made on 18 April 2012, 30 May 2012 and 29 August 2012 (“Announcements”). �For consistency, the abbreviations and definitions used throughout this announcement are the same as those previously defined in the Announcements. As disclosed in the Announcements, Intellplace Holdings Limited (“IHL”) and Jiuzhou Technology Company Limited (now known as Jiuzhou Tourism Property Company Limited 九洲旅遊地産有限公司)�(“JDX”) has entered into a Memorandum of Understanding (“MoU”) on the proposed disposal of up to 100% but not less than 60% equity interest in Dragon Hill Corporation Limited to JDX for a total consideration of up to HKD1.65 billion (“Proposed Disposal”) and the parties thereto shall enter into definitive agreement in connection with the Proposed Disposal on or before the expiry of six (6) months from the date of MoU (“Cut-off Date”). The Board of Director wishes to inform that up to the date of this announcement, the parties involved are in the advance stage of discussion on the detailed terms and conditions of the�Proposed Disposal. On 18 October 2012, IHL and JDX have entered into an Extension Agreement to the MoU to extend the Cut-off Date to 17 April 2013 (or such later date as the parities may agree in writing). The Board considers that this extension of time is in the best interest of the Company as more time is allowed for the Company to finalise the detailed terms and conditions of the definitive agreement on the Proposed Disposal.
