SIA does not have any voting or legal rights, and will not acquire the legal or beneficial interest, in the said shares until and subject to the completion of the CSSA. Deemed interest in the shares of LPB pursuant to Section 6A(6)(b) of the Companies Act, 1965 by virtue of the put and call option agreement dated 8 October 2012 made between SIA and the following parties:- 1. Best Time Venture Sdn Bhd 2. Dato Syed Abu Hussin bin Hafiz Syed Abdul Fasal 3. Law Siau Woei 4. Low Bok Sang 5. Nasri binti Hashim 6. Ong Leh Eng 7. Tan You Loon 8. Zainorazua binti Zainun (collectively the "Other Vendors") for the acquisition by SIA of 20,157,500 ordinary shares of par value RM0.50 each in LPB held by the Other Vendors, representing approximately 9.08% of the total issued ordinary share capital of LPB ("PCOA"). The PCOA does not complete until the fulfilment of the conditions precedent set out therein. SIA does not have any voting or legal rights, and will not acquire the legal or beneficial interest, in the said shares and warrants until and subject to the completion of the PCOA. B & C Semperit Holding GmbH through its associate is the holder of more than 15% of the voting shares in SIA.
