FACB Industries Incorporated Berhad ("Company") wishes to announce that the Company shall be seeking its shareholders' approvals at the forthcoming 33rd Annual General Meeting for a proposed renewal of its existing authority to purchase and/or hold up to 10% of its issued and paid-up share capital, and a proposed amendment of its Articles of Association.

The existing authority for share buy-back was approved by its shareholders at the 32nd Annual General Meeting held on 7 December 2011, and shall expire at the conclusion of the 33rd Annual General Meeting.

The notice convening the 33rd Annual General Meeting and�details of the proposed renewal and the proposed amendment shall be despatched to the shareholders in due course.

This announcment is dated 19 October 2012.
