We refer to our announcements made on 1 July 2013, 22 November 2013, 27 November 2013, 2 December 2013, 12 December 2013 and 30 January 2014 in respect of the Investment in Bancore on the execution of Investment Agreement and Shareholders’ Agreement (Announcements").

For consistency, the abbreviations and definitions used throughout this announcement are the same as those previously defined in the Announcements.


The Board of Directors of Formis Resources Berhad (“FRB”) is pleased to announce that pursuant to the Investment Agreement, FRB has on 28 February 2014 exercised its second tranche right on 125,401 Subscription Warrants which carry a right to subscribe for 125,401 ICPS in Bancore for a total exercise price of approximately EUR 500,000 [equivalent to approximately
RM2,274,500 based on the currency exchange rate as at 5:00 p.m. on 27 February 2014] only which shall be payable by FRB within 16 days from 28 February 2014.

Upon completion of the exercise of the second tranche right of the Subscription Warrants, FRB’s shareholdings in Bancore shall be as follows:-

Upon completion of the Re-Organisation, Bancore will cease to be a wholly-owned subsidiary of FHB and instead, will become a wholly-owned subsidiary of Bancore Asia.

Bancore was incorporated as a private limited company on 19 March 2001 in Malaysia under the Companies Act, 1965 under the name of Tera Asia Pacific Sdn Bhd and assumed its present name on 23 July 2013. As at 28 February 2014, the authorised share capital of Bancore is RM1,900,000 comprising 1,900,000 ordinary shares of RM1.00 each (“Bancore Shares”), of which 380,000 Bancore Shares have been issued and credited as fully paid-up. Bancore is presently dormant and its intended principal activities are to carry on the business of providing information technology solutions and services in term of hardware, software, consultancy and maintenance for mobile remittance industry both locally and internationally.

The Re-Organisation is part of the Group’s intention to streamline and realign the businesses to achieve greater operational efficiency.

The Re-Organisation will not have any material effect on the earnings, net assets and gearing of the FRB Group for the financial year ending 31 March 2014.

None of the Directors and/or major shareholders of FRB and/or persons connected with the Directors and/or major shareholders of FRB, has any interest, direct or indirect, in the Re-Organisation.

The Directors of FRB, after having considered all aspects of the Re-Organisation, are of the opinion that the Re-Organisation is in the best interest of the FRB Group.
