As mentioned in our Announcement, the rationale for the Proposed Acquisition is the acquisition of the "NOMOS" trademark and its goodwill which is imperative for the completion of the disposal by the Company of the 70% equity interest in Technopia Sdn Bhd and 70% equity interest in PT Technopia Jakarta ("PTTJ") to Fumakilla Limited of Japan. After the completion of the Proposed Acquisition and the assignment of the "NOMOS" trademark to PTTJ, PTTJ will fully take over the distribution of mosquito coils and other household insecticides products in Indonesia from PTTL. The Company intends to wind up PTTL in due course.
