The Board of Directors of Berjaya Sports Toto Berhad (“BToto”) is pleased to announce that BToto has on 17 October 2012 incorporated a wholly-owned subsidiary under the name of Sports Toto Malaysia Management Pte. Ltd. (“STMM”). STMM, which was incorporated in Singapore under the Companies Act, Chapter 50, has an issued and paid-up share capital of SGD1.00 comprising two (2) ordinary shares of SGD0.50 each. STMM will act as the trustee-manager of the proposed Sports Toto Malaysia business trust to be constituted under the Business Trust Act, Chapter 31A of Singapore. The incorporation of STMM does not have any effect on the consolidated earnings and net assets of BToto. None of the Directors and substantial shareholders of BToto and/or persons connected to them has any interest, direct or indirect, with the incorporation of STMM.
