MMC wishes to announce that on 18 October 2012, Sterling Asia, a wholly-owned subsidiary of Malakoff Power Berhad (“Malakoff Power”) (which in turn is a wholly-owned subsidiary of Malakoff Corporation Berhad (“MCB”), a 51%-owned subsidiary of MMC), has entered into a conditional asset sale agreement (“ASA”) with HICOM Power to undertake the proposed acquisition of the entire business, including all of the assets and liabilities of HICOM Power (save for the Excluded Assets and Excluded Liabilities (as defined in Section 2.1.2.1 of the announcement enclosed)) (“Assets and Liabilities”), from HICOM Power, a wholly-owned subsidiary of DRB-HICOM Berhad (“DRB-HICOM”), for a cash consideration of RM575 million (“Proposed Acquisition”), subject to the terms and conditions contained in the ASA.
