The Board of Directors of ECB wishes to announce that its wholly owned subsidiary, EV Singapore, had on 19 October 2012 acquired S$2,000,000 ordinary shares representing the entire issued and paid-up share capital of EEPL from Datin Puspawathy a/p Subramaniam and Mr. Subramanian Pandirajan holding S$1,999,999 ordinary shares and S$1 ordinary share respectively at a total cash consideration of S$1.00 (the “Acquisition”). Consequent upon the Acquisition, EEPL shall be a wholly owned subsidiary of EV Singapore. � Related Party � Datin Puspawathy a/p Subramaniam is the spouse of Dato’ Nathan a/l Elumalay, a Director and substantial shareholder of ECB. She is also the mother of Mr. Narishnath a/l Nathan, a Director of ECB. Both Dato’ Nathan a/l Elumalay and Mr. Narishnath a/l Nathan had informed the Board of Directors of ECB of the details of the nature and extent of their interest in EEPL. They had abstained from deliberation and voting on the Acquisition.� � EEPL � EEPL was incorporated in Singapore on 19 May 1988 to undertake general construction projects in Singapore. The issued and fully paid-up ordinary share capital of EEPL is S$2,000,000. � EEPL is now dormant. The net asset of EEPL as at 31 December 2011 stood at S$10,536. � Rationale � EEPL has a proven track record in executing and successfully completing construction projects in Singapore. High profile projects undertaken by EEPL in Singapore include Hitachi Tower, Caltex Tower and Republic Plaza. The Acquisition will enable ECB’s group of companies (the “Group”) to utilise the track records of EEPL and the Group’s expertise in the field of construction to bid and secure projects in Singapore and regionally. � Financial effects � The cost of the Acquisition is funded internally. � The Acquisition will not have any material effect on the share capital and substantial shareholders’ shareholdings of ECB and is not expected to have any material effect on the net assets, earnings and gearing of ECB Group for the financial year ending 31 December 2012. � Save as disclosed above, none of the Directors and/or substantial shareholders of ECB and/or person connected with them has any interest, direct and/or indirect, in the Acquisition. � The Directors, except the interested Directors, are in the opinion that the Acquisition is in the best interest of the Company.
