On behalf of MPHB, we wish to announce that the Minister of Finance through Bank Negara Malaysia (“BNM”) has vide BNM’s letter dated 21 December 2012, approved the application in relation to Multi-Purpose Insurans Bhd (”MPIB”) pursuant to the Proposed Internal Reorganisation and Proposed Offer for Sale, subject to the conditions as set out below: (i) MPHB Capital Berhad (“MPHB Capital”) to rationalise its non-financial services businesses within 3 years from the date of completion of the restructuring of the MPHB Group; (ii) MPHB Capital, Multi-Purpose Capital Holdings Berhad (“MPCH”) and MPIB to obtain the prior approval of BNM before any payments of dividends and the provision of guarantees, indemnity or any forms of financial assistance to the non-financial services businesses’ companies within the MPHB Capital Group; (iii) MPHB Capital to ensure that its shareholders comply with the individual shareholding limit of not exceeding 10% within 5 years from the date of completion of the restructuring of the MPHB Group; and (iv) the disposal by the underwriters of MPHB Capital shares who hold more than 5% of the entire shares of MPHB Capital within 6 months from the date of underwriting to be approved by the Minister of Finance in accordance with Section 67 of the Insurance Act 1996.
