1. INTRODUCTION The Board of Directors of Komarkcorp is proposing the following:-
(ii) To seek a renewal of shareholders' mandate for recurrent related party transactions of a revenue or trading nature which are in the ordinary course of business ("Recurrent Transactions") of Komarkcorp and its subsidiaries ("Komarkcorp Group") ("Proposed Shareholders' Mandate") pursuant to Paragraph 10.09 of the Listing Requirements of Bursa Securities at the Sixteenth AGM of the Company to be convened. 2. DETAILS OF THE PROPOSALS 2.1 Proposed Share Buy-Back
The Board therefore proposes to seek the renewal of the authority from the shareholders of Komarkcorp for the Company to purchase and/or hold in aggregate such number of Komarkcorp Shares representing up to ten percent (10%) of the issued and paid-up share capital of Komarkcorp through Bursa Securities, subject to the prevailing laws, rules, regulations, orders, guidelines and requirements.
The Board therefore proposes to seek the approval of the shareholders of Komarkcorp for the Proposed Shareholders' Mandate at the Sixteenth AGM of the Company to be convened. A circular containing further details on the Proposed Share Buy-Back and Proposed Shareholders' Mandate will be despatched to the shareholders together with the Annual Report of the Company for the financial year ended 30 April 2012 in due course. LISTING'S CIRCULAR NO. L/Q : 65975 OF 2012
The above Company has failed to submit its Quarterly Report for financial period ended 30 June 2012 to Bursa Malaysia Securities Berhad ("Bursa Securities") for public release within the stipulated timeframe pursuant to Paragraph 9.22(1) of Bursa Securities' Main Market Listing Requirements ("LR").
Pursuant to Paragraph 9.28(5) of the LR, if a listed issuer fails to issue the outstanding financial statements within 5 market days after the expiry of the relevant timeframe stated in Paragraph 9.22(1) of the LR ("Relevant Timeframe") (the last day of the 5 market days is referred to as "Suspension Deadline"), in addition to any enforcement action that Bursa Securities may take, Bursa Securities shall suspend the trading in the securities of such listed issuer. The suspension shall be effected on the next market day after the Suspension Deadline.
In view of the above and in accordance with Paragraph 9.28(5) of the LR, a trading suspension will be imposed on the shares of the Company. However, as the Company's shares has been suspended from trading since 8 August 2012 due to its failure to submit its annual audited accounts for financial period ended 31 March 2012, please be advised that the suspension of trading will continue until further notice.
Pursuant to Paragraph 9.28(6) of the LR, if a listed issuer fails to issue the outstanding financial statements within 6 months from the expiry of the Relevant Timeframe, in addition to any enforcement action that Bursa Securities may take, de-listing procedures shall be commenced against such listed issuer.
