Reference is made to the earlier announcements in respect of the Proposed Offer.�� The Board of Directors of TSH�Resources Berhad wishes to announce that the Joint Offerors had on 6 September 2012 received a letter from the Securities Commission Malaysia requesting the Joint Offerors to further extend the closing date of the Proposed Offer to facilitate Pontian’s shareholders receiving independent advice (“SC Letter”). The independent advice, in the form of an independent advice circular (“IAC”) to be issued by an Independent Advisor to the Board of Directors (“Board”) and shareholders of Pontian sets out their findings and views on the fairness and reasonableness of the Proposed Offer. The appointment of an Independent Advisor is under the purview of the Board of Pontian.�� The Board of Pontian has on numerous occasions, failed to appoint an Independent Advisor in accordance with the Malaysian Code on Take-Overs and Merger 2010 (“Code”) after the notice of the Proposed Offer dated 26 June 2012. Therefore, the Joint Offerors have no alternative but to serve notices on �17 August 2012 and the announcement today, to further extend the closing date to enable the Board of Pontian to fulfill the requirements of the Code for the issuance of the IAC, which if not issued by the Board of Pontian, shall be in non-compliance of the Code.
In relation thereto, please find attached the press notice by AmInvestment Bank (on behalf of the Joint Offerors) pertaining to the above matter and on the disclosure of the level of acceptances of the Proposed Offer as at 5.00 p.m. (Malaysian time) on 7 September 2012 in accordance with Section 26(1) of the Code.� This announcement is dated 7 September 2012. | |
