("Genfemanco")Against Pasdec Resources SA Limited ("PRSA") And Pasdec Automotive Technologies (Pty) Ltd. ("PAT"), Subsidiaries Of PASDEC Plaintiff: Genfemanco Defendants: PRSA (First Defendant) and PAT (Second Defendant)
Further to the disclosures made by the Company in Note 11 of the Financial Results announcements on 28 February 2012, 31 May 2012 and 29 August 2012, we wish to update that the Arbitration Appeal Tribunal had upheld the claims made by a former director of a subsidiary company of PRSA for 20% of profits of PAT between 1998 and 2003 plus 5 times average annual profit for 2001 and 2002 ("Claims") through Genfemanco as valid and thereafter in the Arbitration Court proceedings to determine the Claims payable held in end of August 2012 ,� the Plaintiff and Defendants had agreed to a Interim Arbitration Award by Consent before the Arbitrator. Pursuant to the Arbitration Award by Consent, the First Defendant will pay to the Plaintiff a sum of ZAR35,000,000 as full and final settlement of the Claims in the following manner:- (i) An amount of ZAR17,500,000 by 3 September 2012, which has been duly paid as at the date of this announcement. (ii) The remaining balance of ZAR17,500,000 to be paid in equal interest free monthly instalments over 84 months commencing on 1 October 2012 and thereafter on the first business day of each succeeding month. (iii) In the event the First Defendant fails to carry out its obligations within the period as specified in the Arbitration Award by Consent, the Plaintiff is entitled to either proceed with the payment of the full amount then outstanding in terms of the Award or proceed with the arbitration to determine the final Claims of which the Award will be deemed a provisional determination of the Claims. Up to 30 June 2012, PASDEC Group has provided ZAR12,000,000 as damages with regards to the Claims in the financial statements. Pursuant to the Arbitration Award by Consent, the Group will provide another ZAR23,000,000 with regards to the Claims for the remaining period of the financial year ending 31 December 2012. The provision arising from the Arbitration Award by Consent is expected to have an impact on the financial results of the Group for the financial year ending 31 December 2012 but will� not have any material impact on the operations of the Group.
