Description	IDEAL SUN CITY HOLDINGS BERHAD (F.K.A. EQUATOR LIFE SCIENCE BERHAD) (“Ideal” or “the Company”) - Monthly Announcement Pursuant to Guidance Note 5/2006 ("GN5") – Default in Payments
Further to the announcement made on 1 August 2012 pursuant to GN5 of the ACE Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of Ideal (“the Board”) wishes to inform that the status of the settlement of debts with the major creditors is as follows:- Ideal Property Concepts Sdn Bhd (“IPC”) (formerly known as Equator Biotech Sdn. Bhd.) (a wholly-owned subsidiary company of IDEAL) has on 16 March 2012, received a Writ of Summon issued by the Session Court of Muar, Johor Bahru in relation to a claim filed by Malayan Banking Barhad (“MBB”). Maybank has approved & agreed to withdraw the case upon the final settlement of total sum of RM92,000 as the full and final payment on 25 August 2012 via letter dated 11�May 2012. Final payment has been made on 25 August 2012, awaiting MBB to withdraw the case during the hearing on 14 September 2012. RHB Bank Berhad ("RHB")�had on 3 September 2012 issued a letter to IPC to regularized the facility outstanding with RHB into a new term loan amounting to RM5,311,105.35 with monthly repayment of RM105,004.30 over the period of 5 years. With reference to the settlement of the debt with Orix Credit Malaysia Sdn Bhd, the High Court of Johore Bahru has on 9 January 2012 dismissed the claim of Orix Credit Malaysia Sdn. Bhd. ("Orix")�against IPC and the Company.� An appeal has been filed by Orix on 1 February 2012.� The Company will make the necessary announcement on further development on this matter, if any. Provided that : the settlement with MBB is completed and MBB withdraws the case in the following hearing; IPC's acceptance of the regularisation of its facility with RHB; and Orix's appeal is dismissed, Ideal will no longer be in default of payments to financial institution. Further updates to the status of settlement of debts above will be announced in due course. This announcement is dated 3 September 2012. �

We wish to announce that, on 3 September 2012, FGB had been informed that Faber Limited Liability Company (“Faber LLC” or “the Defendant”) (a subsidiary company of FGB) had, on the late evening of 30 August 2012, received a Notice of Claim dated 23 August 2012 from Tripoli Limited Liability Company (“the Claimant”) naming �Faber LLC as a defendant.� The financial claim made by the Claimant against the Defendant is AED1,635,887.18 (equivalent to approximately RM1,389,550.00), which Faber LLC is disputing. The Abu Dhabi Court had fixed the hearing of the Notice of Claim on Thursday, 13 September 2012. By way of background, the Claimant was a sub-contractor of Faber LLC for the contracts in relation to the provisions of Civil, Mechanical and Electrical Maintenance Services for Low Cost Houses at Liwa and Madinat Zayed in Western Region Municipality, Emirate of Abu Dhabi (“the Contracts”). Faber LLC is currently seeking the advice of its solicitors with regards the said Notice of Claim. There is no financial and operational impact arising from the Notice of Claim. As at todate, pending the outcome of the Abu Dhabi Court’s decision, FGB is unable to assess the expected losses, if any, arising from the Notice of Claim. The Claimant has not specified the interest rates in the Notice of Claim. Further announcement on the developments of the above matter will be made in due course. On behalf of the Board, RHB Investment Bank wishes to announce that the Company and the Vendor have mutually agreed to amend certain salient terms in the SSA as announced on 2 August 2012 (“Amendments”). In relation to the condition precedent to be fulfilled by the Vendor and the Company, the following Clause is amended:- As announced on 2 August 2012 Amendments Section 2.1.1(iii)(a): The issuance of the provisional lease by the Land and Survey Department for the Gedong palm oil mill owned and operated by TH PELITA Gedong. Amended wordings to be read as follows:- The approval by the Ministry of Resource Planning and Environment and/or other relevant authorities, for the alienation of the land alongside Lot 166, Block 5 of Melikin Land District, where the Gedong palm oil mill, owned and operated by TH PELITA Gedong is located. �In relation to the Purchase Consideration, the following Clause is amended:-  As announced on 2 August 2012 Amendments Section 2.3.2(a): Notwithstanding the foregoing, the Purchase Consideration is subject to:- WTW, assessing the valuation and substantiating the appraisal of the market value of THLSS Group assets and THB assets in its valuation report as at 30th June 2012 as approved by the SC. Amended wordings to be read as follows:- WTW, assessing the valuation and substantiating the appraisal of the market value of THLSS Group assets and THB assets� in its valuation report as at 30th June 2012. Save for the above, all the terms and conditions of the SSA shall remain in full force and effect and shall be read, construed and enforceable as if the Amendments herein contained were inserted by way of addition as the case may be and the amended Clause has originally formed part of the SSA. In the event of any inconsistency between the provisions of the SSA and the Amendments, the amended provisions contained herein shall prevail and supersede such provisions of the SSA.� Other than the Amendments, all other terms and conditions of the SSA shall continue to have full force and effect.� This Announcement is dated 3 September 2012.
