| Description | MAGNA PRIMA BERHAD (“MPB” OR THE “COMPANY”) (I) ISSUANCE OF 40,000,000 NEW REDEEMABLE CONVERTIBLE PREFERENCE SHARES OF RM0.01 EACH IN MPB (“RCPS”) TO LEMBAGA TABUNG ANGKATAN TENTERA (“LTAT”) AT AN ISSUE PRICE OF RM1.00 PER RCPS (“ISSUANCE”); (II) INCREASE IN THE AUTHORISED SHARE CAPITAL OF MPB FROM RM100,000,000 COMPRISING 400,000,000 ORDINARY SHARES OF RM0.25 EACH IN MPB (“MPB SHARES”) TO RM125,400,000 COMPRISING 500,000,000 MPB SHARES AND 40,000,000 RCPS; AND (III) AMENDMENTS TO THE MEMORANDUM AND ARTICLES OF ASSOCIATION OF MPB (COLLECTIVELY REFERRED TO AS THE “CORPORATE EXERCISES”) |
Reference is made to the earlier
announcements in relation to the Corporate Exercises. The Board of Directors of MPB is pleased to announce that the Corporate Exercises have been completed today in accordance with the terms and conditions of the subscription agreement entered into between MPB and LTAT in relation to the Issuance and 40,000,000 new RCPS have been issued to LTAT.
