Naim Holdings Berhad (the "Company" or
"Naim") wishes to announce that its subsidiary, Naim Land Sdn. Bhd.
("NLSB") has on 5 November 2014 acquired the following company:-
Upon acquisition, NLSB will hold 100% of the issued share capital of VMSB. VMSB was incorporated in Malaysia as a private limited company under the Companies Act of Malaysia on 8 September 2014. VMSB has an authorized share capital of RM400,000 comprising of 400,000 shares whilst its issued and paid-up capital is RM2 comprising of 2 shares. VMSB has not commenced business since incorporation. The said acquisition will not have any effect on Naim's share capital, substantial shareholders' shareholdings, earnings and net assets for the financial year ending 31 December 2014. None of the directors and/or shareholders of Naim Group and/or persons connected with them, have any interest, direct or indirect, in the said acquisition.
