We refer to the announcement dated 13 October 2014 in relation to the Proposed Rights Issue, Proposed Increased in Authorised Share Capital and Proposed Amendments (“Announcement”). On behalf of the Board of Directors of Goldis, CIMB is pleased to announce that the Company has procured from the following shareholders (collectively, the “Undertaking Shareholders”), a joint and several irrevocable and unconditional undertaking to subscribe for and/or procure the subscription in full of their entitlements to the RCPS (on a collective basis as opposed to based on their respective entitlements) (“Undertaking”): (i) Wah Seong (Malaya) Trading Co Sdn. (ii) Tan Chin Nam Sdn Bhd (iii) Tan Kim Yeow Sendirian Berhad (iv) Wah Seong Enterprises Sdn Bhd (v) Dato' Tan Chin Nam (vi) Tentang Emas Sdn Bhd (vii) Scanstell Sdn Bhd (viii) Dato' Seri Robert Tan Chung Meng (ix) Tan Boon Lee (x) Tan Lei Cheng (xi) Dasar Mutiara (M) Sdn Bhd (xii) Datin Choy Wor Lin (xiii) Smooth Operation Sdn Bhd (xiv) Pauline Tan Suat Ming (xv) Tan Boon Seng The Undertaking Shareholders have also, jointly and severally irrevocably and unconditionally undertaken (“Additional Undertaking”) to subscribe for and/or procure the subscription of such additional number of RCPS (if any) which have not been validly applied for as at the closing date of the Proposed Rights Issue (“Closing Date”) such that the aggregate number of RCPS (a) subject to the Undertaking; (b) subject to the Additional Undertaking; and (c) validly applied for as at the Closing Date (other than the RCPS subject to the Undertaking and the Additional Undertaking), is at least RM400.0 million.
