On behalf of KSL, Hong Leong Investment Bank Berhad (“HLIB”) wishes to announce that Bursa Malaysia Securities Berhad (“Bursa Securities”) had, via its letter dated 3 November 2014, approved the following: (a) listing and quotation of up to 487,149,008 new ordinary shares of RM0.50 each in KSL (“KSL Shares”) to be issued pursuant to the Proposed Bonus Issue; (b) listing and quotation of up to 94,330,721 new additional warrants to be issued arising from the adjustment pursuant to the Proposed Bonus Issue; and (c) listing of up to 94,330,721 new KSL Shares to be issued arising from the exercise of the additional warrants. The approval granted by Bursa Securities for the above is subject to the following conditions: (a) KSL and HLIB must fully comply with the relevant provisions under the Main Market Listing Requirements of Bursa Securities (“Listing Requirements”) pertaining to the implementation of the Proposals; (b) KSL and HLIB to inform Bursa Securities upon the completion of the Proposals; (c) KSL to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposals is completed; (d) KSL and HLIB are required to make the relevant announcements pursuant to Paragraphs 6.35(2)(a) and (b), 6.35(4) and 6.56(2)(ii) of the Listing Requirements; and (e) to furnish a certified true copy of the resolution passed by the shareholders at the extraordinary general meeting for the Proposals.

LISTING'S CIRCULAR NO. L/Q : 71795 OF 2014
The above Company has failed to submit its annual audited accounts for the financial period ended 30 June 2014 ("AAA 2014") to Bursa Malaysia Securities Berhad ("Bursa Securities") for public release within the stipulated timeframe i.e. 31 October 2014, pursuant to paragraph 9.23(2) of Bursa Securities' Main Market Listing Requirements ("LR").
Pursuant to Paragraph 9.28(5) of the LR, if a listed issuer fails to issue the outstanding financial statements within 5 market days after the expiry of the relevant timeframes stated in Paragraph 9.22 and 9.23 of the LR ("Relevant Timeframes") (the last day of the 5 market days is referred to as "Suspension Deadline"), in addition to any enforcement action that Bursa Securities may take, Bursa Securities shall suspend the trading in the securities of such listed issuer. The suspension shall be effected on the next market day after the Suspension Deadline.
In view of the above and in the event that Kinstel is unable to submit the outstanding AAA 2014 on or before 7 November 2014, the trading in the above Company's shares will be suspended with effect from 9.00 am, Monday, 10 November 2014 until further notice.
Pursuant to Paragraph 9.28(6) of the LR, if a listed issuer fails to issue the outstanding financial statements within 6 months from the expiry of the relevant timeframes, in addition to any enforcement action that Bursa Securities may take; de-listing procedures shall be commenced against such listed issuer.
