Asia Bioenergy Technologies Berhad ("the Company” or “ABT”) wishes to announce that it has acquired the entire shares of a shelf private limited company incorporated in Malaysia known as Virgin Hill Sdn Bhd (“VHSB”) at a total cash consideration of RM2.00 (“Acquisition”). VHSB was incorporated on 10 October 2014 with an authorised and paid up share capital of RM400,000 and RM2.00, respectively. VHSB has not commenced operations since its incorporation. The Acquisition does not have any effect on the issued and paid up share capital and major shareholdings structure of ABT and do not have a material effect on the net assets and earnings of the ABT Group. None of the Directors and/or major shareholders of the Company or persons connected with them have any interest, direct or indirect, in the Acquisition. The Acquisition is not subject to the approval of the shareholders of ABT or any relevant government authorities. Having considered all aspects of the Acquisition, the Board of Directors of ABT is of the opinion that the Acquisition is in the best interest of ABT.
