The Company wishes to inform that following the completion of the renounceable rights issue of 368,534,902 new ordinary shares of RM1.00 each in Dijaya (“Dijaya Shares”) together with an attached bonus issue of 92,133,726 new Dijaya Shares on 19 October 2012, the public shareholding spread of the Company as at 19 October 2012 was 22.13% of the total issued and paid-up share capital of the Company. In view of the above, the Company has ceased to meet the requirement as set out in paragraph 8.02(1) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad (“Bursa Securities”), which states that a listed issuer must ensure that at least 25% of its total listed shares (excluding treasury shares) are in the hands of public shareholders. The Company will apply to Bursa Securities to accept a lower percentage as the public shareholding spread and failing which, the Company will apply for an extension of time for the Company to formulate plans to comply with the public shareholding spread requirement.
