Reference is made to the Company's announcements of 27 May 2011, 31 May 2011, 24 June 2011, 13 July 2011, 20 July 2011, 24 August 2011, 1 November 2011, 4 November 2011, 16 December 2011, 31 January 2012, 29 February 2012, 2 May 2012, 2 July 2012 and 17 August 2012 in relation to the disposal of the entire issued and paid-up share capitals of Keywest Communications Inc ("KCI") and Keywest Networks (Canada) Inc ("KNI") (“Disposed Companies”) ("Disposal") (“Announcements”). For consistency, the abbreviations and definitions used throughout this announcement are the same as those previously defined in the Announcements. The Company had on 9 December 2013 delivered the duly executed instruments of transfer in respect of KCI Shares to the company secretary of STL, the purchaser. On 13 February 2014, the Company delivered the remaining completion documents as stipulated in the Letter of Agreement entered into between STL and the Company on 27 February 2012, to STL’s company secretarial office address by courier and in doing so, fulfilled all the obligations of the Company in completing the Disposal. In the letter to STL dated 13 February 2014, the Company also requested STL to pay a sum of RM1.5 million as full and final settlement for the Disposal and repayment of the loans extended by the Company to KCI Group. The courier company was unable to deliver the aforesaid letter as STL’s company secretary was no longer located at the address concerned. The Company then did a company search on STL on 16 May 2014 and based on the new secretarial company address as detailed in the search, the courier company was instructed on 26 May 2014 to re-deliver the said letter to the new secretarial company address concerned. This second delivery attempt was also not successful as the secretarial company concerned has shifted and as at the date of this announcement, the Company has not been able to ascertain the whereabouts of STL’s company secretarial office. In view thereof and since the Company has no involvement and control over the management as well as operations of the Disposed Companies, the Board wishes to announce that it has resolved to deem the Disposal as completed. The completion has no impact on the financial position of the Group and the Company as the aforesaid amount of RM1.5 million due from STL was fully impaired in the Group’s and the Company’s audited financial statements for the financial year ended 31 January 2013.
