(COLLECTIVELY REFERRED TO AS THE “PROPOSED REGULARISATION PLAN”)

Reference is made to the Company’s announcements dated 30 September 2013, 2 October 2013, 26 December 2013, 23 May 2014, 26 May 2014, 11 July 2014 and 30 July 2014. Unless otherwise defined or the subject of the context otherwise requires, the terms defined in the said announcements shall have the same meanings when used in this announcement.

On behalf of the Board of Directors of IRCB, AmInvestment Bank Berhad wishes to announce that Bursa Malaysia Securities Berhad had vide its letter dated 8 August 2014, taken note of IRCB’s variation of the Proposed Increase in Authorised Share Capital which will now entail an increase in the existing authorised share capital of RM200 million comprising 1,000 million ordinary shares of RM0.20 each in IRCB to RM400 million comprising 2,000 million ordinary shares of RM0.20 each in IRCB and will be completed prior to the implementation of the Proposed Advance Capitalisation, Proposed Capital Reduction and Consolidation and Proposed ESS.

Upon completion of the Proposed Regularisation Plan, IRCB’s authorised share capital will remain unchanged at RM100 million comprising 1,000 million consolidated ordinary shares of RM0.10 each in IRCB as announced on 30 September 2013.
