Mega First Corporation Berhad ("MFCB" or "the Company") wishes to announce that its 52.4% owned subsidiary namely Hexachase Corporation Sdn Bhd had on 12 June 2014 acquired 65% equity interest in Hexachase Flexipack Sdn Bhd ("Flexipack") comprising 650,000 fully paid ordinary shares of RM1.00 each through -
(Collectively referred as "the Acquisition"). The Acquisition cost totalling RM650,000.00 is funded by internally generated funds. Flexipack is a private limited company that was incorporated in Malaysia on 5 December 2013. It has an issued and paid-up share capital of RM1,000,000 comprising 1,000,000 fully paid ordinary shares of RM1.00 each. Flexipack is a start-up company principally involved in the manufacturing of flexible packaging materials. The Acquisition will have no effect on MFCB’s share capital and substantial shareholders’ shareholding. It also will have no material effect on the consolidated earnings, net assets and gearing of MFCB for the financial year ending 31 December 2014. Mr Goh Nang Yoon who is a shareholder of Flexipack holding 10% of the total issued and paid-up share capital of Flexipack, is the brother of Mr Goh Nan Kioh and Mr Goh Nan Yang. Both Mr Goh Nan Kioh and Mr Goh Nan Yang are Directors of the Company. Mr Goh Nan Kioh is also a deemed substantial shareholder of the Company. Save as disclosed, none of the Company’s Directors, major shareholders and/or persons connected with them have any interest, direct or indirect, in Flexipack. This announcement is dated 12 June 2014.
