Introduction Dolomite Power-Wuhai (HK) Limited ("DPWHK") was a wholly-owned subsidiary of Dolomite Technology (HK) Limited which in turn is a wholly-owned subsidiary of DCB. The Board of Directors of DCB wishes to announce that pursuant to an application made by DPWHK, DPWHK had on 30 May 2014 been de-registered from the Companies Registry, Hong Kong ("De-registration"). The certificate of De-registration was received by DCB on 10 June 2014. Information on DPWHK DPWHK was incorporated on 14 January 2005 pursuant to the Companies Ordinance of Hong Kong. The principal activity of DPWHK was investment holding. The issued and fully paid share capital of DPWHK was HKD1/=. Mr. Lew Choong Keong ("Mr. Lew") was the sole Director of DPWHK. Rationale for the De-registration DPWHK had ceased operation and had been dormant. It was therefore not cost effective to continue maintaining DPWHK. DPWHK was not a major subsidiary company of DCB. Financial Effects The De-registration will not have any material effect on the earnings per share and net assets per share of the Company for the financial year ending 31 December 2014. The De-registration will not have any effect on the gearing, share capital and substantial shareholders' shareholding of the Company. Directors and Major Shareholders' Interest Mr. Lew is the Managing Director of the Company and also a Director of DPWHK. He is also a shareholder of the Company. Saved for Mr. Lew, as disclosed above, none of the Directors and/or major shareholders of DCB and/or persons connected with them have any interests, direct or indirect, in the De-registration. Statement by Directors The Board of Directors of DCB, having taken into consideration all aspects of the De-registration of DPWHK, is of the opinion that the De-registration is in the best interests of DCB and its subsidiaries. This announcement is dated 11 June 2014.
