The Company wishes to inform that Kilang Bihun Bersatu Sdn Bhd (“KBBSB”), a wholly-owned subsidiary of EKA had been served with a copy of sealed Petition and the Affidavit verifying the Petition. The winding-up petition against KBBSB was presented to the Alor Setar High Court by Kepala Batas Bihun Sdn Bhd (“Petitioner”) on 02 June 2014 and a copy was then served to the Company on 13 June 2014. The petition was fixed for hearing on 16 June 2014. Particulars of the claim The Petitioner had made a claim of RM735,690.51 being the amount owing by KBBSB together with interest of 5% per annum on the sum of RM735,690.51 from 20 June 2013 up to the date of full payment and the cost of proceedings of RM8,584.00 (“Amount Outstanding”). Circumstances leading to the filing of the winding-up petition KBBSB was served a Notice Pursuant to Section 218 of the Companies Act 1965 (“Notice”) dated 11 April 2014 by the Petitioner in relation to the Amount Outstanding. In the event, KBBSB neglects or fails to settle the Amount Outstanding within 21 days from 25 April 2014, KBBSB shall be deemed to be unable to pay the Amount Outstanding pursuant Section 218B(2)(a) of the Companies Act, 1965 and the Petitioner shall commence legal proceedings to wind up KBBSB pursuant to the provisions of the Companies Act, 1965. Confirmation of major subsidiary and total cost of investment KBBSB is a major subsidiary of EKA and the total cost of investment is RM30,684,496. Financial & Operational Impact There is no material financial or operational impact on Group. Expected losses to the Group, if any KBBSB is exposed to the claim, interests and legal expenses stated above. Steps taken by the Company KBBSB has appointed lawyer for the hearing on 16 June 2014. (“KHI”), a wholly-owned subsidiary of KHIB has on 13 June 2014 received a purchase order to produce tooling mould for Kein Hing Muramoto (Vietnam) Co., Ltd (“KHMV”), a 51% owned subsidiary of KHIB for total cash consideration of USD24,000.00 or equivalent to RM78,000.00 approximately. The delivery of the tooling mould will be over a period of June and July 2014. The producing of tooling mould is of a recurring and trading nature and is in the ordinary course of business of KHIB and its subsidiaries. The Board has at the Tenth Annual General Meeting held on 17 October 2013 obtained shareholders’ mandate to renew the transaction on KHI producing metal components and tooling mould for KHMV for an estimated value of RM2,000,000.00 (“the said Transaction”) as set out in the Circular to Shareholders dated 25 September 2013. The actual value of the said Transaction up to 31 May 2014 is RM2,183,795.00. In view thereof, the actual value will exceed the estimated value of the said Transaction granted in the existing mandate by approximately RM261,795.00 or 13%.
