The issued and paid up share capital of BKEC is 100 ordinary shares and SGD100 (Singapore Dollar One Hundred) respectively. The principal activity of BKEC is to carry out electrical and mechanical engineering works.

 

The new incorporation of BKEC will not have any material effect on the earnings and net assets of BKCB Group for the financial year ending 31 March 2015.

 

None of the Directors and/or major shareholders of BKCB or persons connected to them have any interests, direct or indirect, in the new incorporation of BKEC.

The Board of Directors of Master-Pack wishes to announce that its wholly-owned subsidiary, Tung Hai Fishing Sendirian Berhad (7714-X) (“THFSB”) had, on 08 May 2014 submitted an application to Suruhanjaya Syarikat Malaysia (“SSM”) for striking off the name of THFSB from the register pursuant to Section 308 of the Companies Act, 1965 (“Proposed Striking Off”).
THFSB, a wholly-owned subsidiary of the Company was incorporated in Malaysia on 29 February 1968.

THFSB has an authorised share capital of RM5,000,000.00 comprising 5,000,000 ordinary shares of RM1.00 each and a paid-up capital of RM5,000,000.00. Currently, THFSB is an inactive and dormant subsidiary of the Company.

The Proposed Striking Off will not have any impact on the earnings and net assets per share of Master-Pack Group for the financial year ending 31 December 2014.

The Proposed Striking Off is not subject to the approval of the shareholders but subject to the approval from SSM.

PROPOSED ISSUANCE OF ICULS

We refer to the announcements dated 6 September 2013 and 8 January 2014 in relation to the Debt Settlement Agreement (“DSA”).

On behalf of the Board of Directors of KSTB, Kenanga Investment Bank Berhad wish to announce that Malayan Banking Berhad (“MBB”) has agreed to KSTB’s request dated 18 March 2014 for the extension of the Completion Date of the DSA. Pursuant thereto, the Completion Date of the DSA is extended from 24 March 2014 to 30 May 2014 subject to all the other existing terms and conditions as set out in the DSA, MBB’s letter of offer dated 14 June 2013 and MBB's supplemental letter of offer dated 7 January 2014 remaining unchanged.
