1. Introduction The Board of Directors of Yee Lee wishes to announce that its wholly-owned subsidiary, Yee Lee Trading Co. Sdn. Bhd. (Company number : 7849-A) (“YLT”), has on today entered into a MOU with Ayam Sarl of 25, Rue Du General Foy, 75008 Paris France (“Seller”) to achieve various aims and objectives relating to the VeGood Brand Acquisition and its business within the territories of Malaysia, Singapore and Brunei for a proposed purchase price of RM800,000.00 (Ringgit Malaysia Eight Hundred Thousand only). The MOU shall remain in force until :- (a) the execution of the Sale and Purchase Agreement; (b) the date (if any) that YLT notifies the Seller in writing that it is no longer interested in proceeding with the transactions contemplated in this MOU; and/or (c) 31st July 2014; whichever occurs first. 2. Information on the Seller Ayam Sarl is a France company in Europe. Ayam Sarl supplies management advice to France and overseas market. Ayam Sarl is the worldwide sole owner of the brand Vegood. Vegood is the leading brand of mixed fruits and vegetable juices in Malaysia. 3. Rationale for the MOU The Parties shall work together and to provide the framework for the successful acquisition and transfer of the VeGood trademarks with goodwill and related business. 4. Effects of the MOU The MOU is not expected to have any material effect on the earnings per share, net assets per share, gearing, share capital and substantial shareholders’ shareholding of the Company for the financial year ending 31 December 2015. Should the Project materializes, it is expected to contribute positively to the future earnings of the Group. 5. Directors’ and major shareholders’ interest None of the Directors and/or major shareholders of the Company and/ or any persons connected to them have any interest, direct or indirect, in the MOU. 6. Statement by Directors The Board of Directors of the Company, having taken into consideration all aspects of the MOU, is of the opinion that the MOU is in the best interest of the Company and its subsidiaries. 7. Approvals required The MOU is not subject to approval of the shareholders of the Company and any relevant government authorities. This announcement is dated 6th May 2014.
