RHB Capital is pleased to announce that its wholly-owned subsidiary, RHB Bank had on 27 December 2013 submitted to the Securities Commission Malaysia, the relevant notification and documentation in relation to the Proposed Revision, including the duly executed amended and restated trust deed and addendum to the information memorandum for the MCMTN Programme.

RHB Bank had obtained approval from Bank Negara Malaysia (“BNM”) on 30 August 2013 to amend the principal terms and conditions (“PTC”) of the subordinated notes to be issued in future under the MCMTN Programme to comply with the regulatory requirements of Tier-2 capital instruments as set out in the Capital Adequacy Framework (Capital Components) issued by BNM on 28 November 2012 (“Capital Adequacy Framework”), also commonly referred to as “Basel III”. The Proposed Revision will enable future issuances of subordinated notes to be in compliance with the requirements under the Capital Adequacy Framework and hence qualify as Tier-2 capital of RHB Bank.

In this regard, RAM Rating Services Berhad (“RAM Ratings”) as the rating agency for the MCMTN Programme, had confirmed via its letter dated 26 July 2013 that the Proposed Revision has no impact on the current ratings of AA2 (senior notes) and AA3 (subordinated notes) for the MCMTN Programme. In addition, consent for the Proposed Revision had been obtained from AmanahRaya Trustees Berhad (as trustee for the MCMTN Programme) on 6 September 2013.
