Description	HIBISCUS PETROLEUM BERHAD (“HIBISCUS PETROLEUM”) • Proposed Private Placement of CRPS-2013
We refer to the announcements dated 11 October 2013, 12 November 2013 and 2 December 2013 in relation to the Proposed Private Placement of CRPS-2013. Unless stated otherwise, the abbreviations used hereafter throughout this announcement shall have the same meanings as defined in the announcement dated 11 October 2013. On behalf of Hibiscus Petroleum, Hong Leong Investment Bank Berhad wishes to announce that Bank Negara Malaysia (“BNM”) had, via its letter dated 23 December 2013 (which was received on 26 December 2013), approved the issuance of CRPS-2013 by Hibiscus Petroleum for the amount of up to RM500 million to non-resident investors. The approval granted by BNM is deemed lapsed if: a) Hibiscus Petroleum uses the proceeds raised from the Proposed Private Placement of CRPS-2013 for purposes other than for investment(s) in the oil and gas sector within Malaysia and outside Malaysia; and b) in the event that no remittance of funds is made within 12 months from the date of BNM’s approval letter. Hibiscus Petroleum is required to obtain prior approval from BNM for: a) any amendments to the terms and purpose of the utilisation of the proceeds from the Proposed Private Placement of CRPS-2013 by completing the relevant Form 10G; and b) any remittance of funds made after the 12-month period from the date of BNM’s approval letter. The redemption of the CRPS-2013 is to be made in foreign currency (other than in Israeli New Shekel) or Malaysian Ringgit. Redemption in Malaysian Ringgit is to be paid into the external accounts of the non-resident investors maintained in Malaysia. For the purpose of facilitating the compilation of balance of payments statistics by BNM, Hibiscus Petroleum is required to provide information required by the licensed local banks to facilitate the banks’ remittance of funds equivalent to RM200,000 or more for each redemption and dividend payment to be made by Hibiscus Petroleum to the non-resident investors. In the event that any of the non-resident investors enter into any hedging contracts to manage the risk exposure to the Malaysian Ringgit investment, the said contracts entered into are required to be conducted only with licensed local banks. For investment(s) abroad in the oil and gas sector, Hibiscus Petroleum is required to apply for prior approval from BNM by completing the relevant application forms, i.e. Form 9A, 6B or 9C prior to the remittance of the funds if the amount to be remitted is equivalent to more than RM50 million in aggregate for the group of resident entities in a calendar year. For the avoidance of doubt, Hibiscus Petroleum has yet to enter into any CRPS-2013 subscription agreement. This announcement is dated 27 December 2013.
