Malaysian Resources Corporation Berhad (“MRCB” or “the Company”) wishes to announce that it had today entered into:

(a) Share Sale and Subscription Agreement (“SSSA”) with Arch Angel Capital Sdn Bhd (“AAC”) and Arch Angel DMC Sdn Bhd (“AADMC”) to:

acquire 2.0 million ordinary shares of RM1.00 each in AAC from AADMC for cash consideration of RM2.5 million (“Sale Shares”);

subscribe 1.5 million new ordinary shares of RM1.00 each in AAC (“1st Subscription Shares”)

subscribe up to 300,000 Redeemable Cumulative Preference Shares (“RCPS”) of RM1.00 each at a subscription price of RM100.00 per share in AAC (“2nd Subscription Shares”)

(b) A Shareholders’ Agreement (“SHA”) with AAC and AADMC for the purpose of determining the terms and conditions of their joint venture and of regulating their relationship as shareholders of AAC.
