Further to the announcement dated 30 November 2012, Kulim wishes to announce that on even date, the Vendors and Trident have mutually agreed to terminate the SPA following the non-waiver of pre-emption rights by GMV-Orkim Sdn Bhd, one of shareholders of Orkim. The Board of Directors of TRINITY wishes to announce that the Company have on 31 January 2013 entered into the following three (3) separate Sale of Shares Agreements (“SSA”) with Plenitude Silver Sdn Bhd (Company No. 950498-A) [“PSSB”] to dispose of shares to PSSB (“Disposals”):- (1) SSA between TRINITY and PSSB for the disposal of 2 Ordinary Shares of RM1.00 each representing 100% equity interest in Layatama Sdn Bhd (“LSB”) to PSSB for a total cash consideration of Ringgit Malaysia One (RM1.00) only. LSB owns 86% equity interest in subsidiary, Talam Resources (HK) Ltd ("TRL") and TRL holds 49% equity interest in Cambodia Resources Import-Export Co Ltd ("CRIECO"); (2) SSA between TRINITY and PSSB for the disposal of 500,000 Ordinary Shares of RM1.00 each representing 100% equity interest in Galian Juta Sdn Bhd (“GJSB”) to PSSB for a total cash consideration of Ringgit Malaysia One (RM1.00) only; and (3) SSA between TRINITY and PSSB for the disposal of 499,999 Ordinary Shares of RM1.00 each representing 98.04% equity interest in New Court Properties Sdn Bhd (“NCP”) to PSSB for a total cash consideration of Ringgit Malaysia One (RM1.00) only. LSB, TRL, CRIECO, GJSB and NCP will cease to be subsidiaries/associate of TRINITY upon completion of the Disposals on 31 January 2013. None of the Directors and/or the major shareholders of Company and/or persons connected with them have any interest, direct or indirect in the Disposals and no approval of shareholders is required.
