The Board of Directors of Hwang-DBS (Malaysia) Berhad ("the Company") wishes to announce that each of the following subsidiaries of the Company had on 31 January 2013 in their respective Extraordinary General Meeting passed a resolution to commence MVW pursuant to Section 254(1)(b) of the Companies Act, 1965:- (1) HwangDBS Custodian Services Sdn Bhd ("HCS") (2) HDM Management Services Sdn Bhd ("HMS") (3) HDM Research & Publication Sdn Bhd ("R&P") In connection with the above, Mr. Tan Phaik Guan of Tan Phaik Guan & Associates Sdn Bhd of Suite 13.04, Level 13, MWE Plaza, No. 8 Lebuh Farquhar, 10200 Penang has been appointed as liquidator of each of the subsidiaries for the purpose of the MVW. INFORMATION ON HCS, HMS and R&P HCS was incorporated in Malaysia on 29 December 1995 with an authorised capital of RM10,000,000 ordinary shares of RM1.00 each. Its current paid up capital is RM3,000,000 comprising 3,000,000 ordinary shares of RM1.00 each. HCS is a wholly-owned subsidiary of HwangDBS Investment Bank Berhad which in turn is a wholly-owned subsidiary of the Company. HCS is a dormant company. HMS was incorporated in Malaysia on 6 January 1989 with an authorised capital of RM250,000 comprising 250,000 ordinary shares of RM1.00 each and a paid up capital of RM160,002 comprising 160,002 ordinary shares of RM1.00 each. HMS is a dormant company and a wholly-owned subsidiary of the Company. R&P was incorporated in Malaysia on 25 January 1995 with an authorised capital of RM1,000,000 comprising 1,000,000 ordinary shares of RM1.00 each and a paid up capital of RM500,000 comprising 500,000 ordinary shares of RM1.00 each. R&P is a dormant company and a wholly-owned subsidiary of the Company. RATIONALE HCS, HMS and R&P are dormant companies and there is no intention to reactivate them. Hence, there is no further need for them to remain in existence. FINANCIAL AND OPERATIONAL EFFECTS The MVW of the 3 subsidiaries will not have any effect on the issued and paid up capital and shareholding structure of the Company. The Company is not expected to record any material loss or material effect on its net assets, gearing ratio and earnings per share for the financial year ending 31 July 2013 due to the MVW. The MVW is also not expected to have any material impact on the operations of the Hwang-DBS Group. | |
