Further to the announcement made by the Company on 1 November 2012 in respect of the leave application pursuant to Section 176(10) of the Companies Act, 1965 granted to BK Fleet Management Sdn Bhd (the “Plaintiff”), the Board of Directors of SBGB wishes to announce that Stanson Marketing Sdn Bhd (“SMSB”), a wholly-owned subsidiary of SBGB, has on 30 January 2013 been served with a Writ of Summons dated 15 January 2013 and Statement of Claim dated 11 January 2013 filed in the High Court of Penang by the Plaintiff. By the said suit, the Plaintiff claims a sum of RM6,526,218.38, purportedly being the outstanding amount due and owing to the Plaintiff as at 31 December 2012 together with interest thereon of 4% per annum calculated from the date of the Writ of Summons until the date of full settlement, seeks a declaration that the Plaintiff is the beneficial owner of lorries forming subject matter of agreements between the Plaintiff and SMSB and an order that SMSB delivers all the said trucks to the Plaintiff, and costs. The High Court of Penang has fixed the suit for case management on 7 February 2013. The Directors of the Company are of the opinion that the suit is not expected to have any financial or operational impact as the claims, if at all SMSB is liable for the same, will be addressed by the regularisation plan being formulated for the Group. The Company is currently seeking the legal advice with regards to the abovesaid suit. The Company will make the necessary announcements on further developments in the above matter as and when necessary. This announcement is dated 31 January 2013. | |
