The Board of Directors of Taliworks wishes to announce that further to an application for voluntary deregistration pursuant to Section 291AA of the Hong Kong Companies Ordinance, Taliworks-Ibi Technologies (Xiamen) Limited (“TITX”), a 90% indirectly owned subsidiary of Taliworks, has on 20 September 2012 received notification from the Companies Registry of Hong Kong that TITX has been dissolved with effect from 14 September 2012. TITX was incorporated under the Hong Kong Companies Ordinance (Chapter 32) on 15 June 2007 as an investment holding company. However, it has remained dormant since the date of incorporation. The dissolution of TITX will not have any material effect on the Company’s net assets, earnings and gearing for the financial year ending 31 December 2012. None of the Directors and/or substantial shareholders of Taliworks and/or persons connected to them have any interest, direct or indirect, in the said dissolution.
