The Board of Directors of Biosis Group Berhad (“Biosis” or “the Company”) wishes to announce that Biosis Nutraceuticals Sdn Bhd, a wholly-owned subsidiary of the Company has on 18 September 2012 transfer its entire equity interest in PT Professional Skin Prescription Centre Sdn Bhd (“PT Professional”) to the Company for a total cash consideration of RM2.00 (“the Transfer”).

PT Professional is currently dormant and its intended principal activities are manufacturing, wholesaling and retailing of all kinds of apparels and accessories. It’s current authorised share capital is RM100,000.00 comprising of 100,000 ordinary shares of RM1.00 each and 2 shares have been issued and fully paid-up.�

The Transfer is for Biosis to rationalise its group structure. It has no material effect on the earnings per share, net tangible assets per share, share capital and the substantial shareholdings of the Company for the financial year ending 31 March 2013.

None of the Directors or major shareholders or persons connected to the Directors or major shareholders of the Company have any interest, direct or indirect, in the Transfer.
