Bhd. (“NICD”), a company incorporated in Malaysia for a cash consideration of RM2.00 (“Acquisition of a wholly-owned subsidiary”). NICD was incorporated on 11 November 2014 with an authorised share capital of RM400,000.00 and issued and paid up share capital of RM2.00 comprising of 2 ordinary shares of RM1.00 each fully paid up. NICD is currently dormant and is intended to be principally involved in property management and development. The acquisition of NICD does not have any material impact on the earnings and the net assets of the NICORP Group for the financial year ending 31 December 2015. None of the Directors and/or major shareholders of NICORP and/or persons connected to them, have any interest, direct or indirect in the acquisition save for Dato’ Siaw Swee Hin and Mr. Cheang Soon Siang.
