WING TAI MALAYSIA BERHAD ("WING TAI" OR "COMPANY")

(I)	PROPOSED RIGHTS ISSUE;

(II)	PROPOSED IASC; AND

(III)	PROPOSED AMENDMENTS

We refer to the announcement dated 5 May 2015 in relation to the:
(i)    proposed renounceable rights issue of up to 164,195,066 new ordinary shares of RM1.00 each in Wing Tai (“Shares”) (“Rights Shares”) on the basis of one (1) Rights Share for every two (2) existing Shares held by the entitled shareholders on an entitlement date to be determined (“Entitlement Date”) (“Entitled Shareholders”) (“Proposed Rights Issue”); 
(ii)    proposed increase in the authorised share capital of Wing Tai from RM400,000,000 comprising 400,000,000 Shares to RM1,000,000,000 comprising 1,000,000,000 Shares (“Proposed IASC”); and
(iii)    proposed amendments to the memorandum and articles of association of Wing Tai as a consequence of the Proposed IASC (“Proposed Amendments”)
(collectively referred to as the “Proposals”).
On behalf of the Board of Directors of Wing Tai (“Board”), Maybank Investment Bank Berhad (“Maybank IB”) wishes to announce that the Company has today procured irrevocable undertaking letters from:
(i)    Wing Tai Holdings Limited (“Wing Tai Holdings”), the ultimate holding company of Wing Tai;
(ii)    Wing Tai Investment & Development Pte. Ltd. (“WTID”), a wholly-owned subsidiary of Wing Tai Holdings; and 
(iii)    Wing Sun Development Private Limited, a substantial shareholder of Wing Tai Holdings,
to subscribe in full for their respective entitlements to the Rights Shares as at the Entitlement Date (“Undertaking(s)”).
Further, WTID has, via its Undertaking, provided an irrevocable undertaking to subscribe for all the remaining Rights Shares not taken up by other Entitled Shareholders and/or their renouncees by way of excess application.
On behalf of the Board, Maybank IB also wishes to announce that an additional listing application and a draft circular to shareholders of Wing Tai in relation to the Proposals have been submitted to Bursa Malaysia Securities Berhad on 8 May 2015.
