We refer to the announcements dated 13 February 2015, 16 February 2015, 31 March 2015, 16 April 2015 and 17 April 2015 in relation to the Proposed Acquisition. (Unless otherwise defined, all terms used in this announcement shall have the same meaning ascribed in the aforesaid announcements.) On behalf of the Board, AmInvestment Bank wishes to announce that the shareholders of Sunright have approved the resolution in respect of the sale and transfer of the Sale Shares pursuant to the Proposed Acquisition at the EGM of Sunright held on 8 May 2015 (“Last Condition Precedent”). Following the fulfillment of the Last Condition Precedent, the SSA has now become unconditional on 8 May 2015 (“Unconditional Date”). Pursuant to the terms of the SSA, the completion shall take place at the business address of the Company (or at such other place as the Parties may agree) on a date to be mutually agreed between the Parties which shall not be later than three (3) Business Days from the Unconditional Date, unless otherwise extended by mutual agreement of the Parties in writing (“Completion Date”). In this regard, KESMI and Sunright have mutually agreed to fix the Completion Date to be on 13 May 2015.
