CONDITIONAL TAKE-OVER OFFER BY JUARA SEJATI SDN BHD ON REDTONE INTERNATIONAL BERHAD ("OFFER")

We refer to the Company’s announcements on 27 March 2015 and 6 May 2015 in relation to the Offer. Unless otherwise stated, the terms used herein shall have the same meaning as defined in the said announcements in relation to the Offer.

On behalf of the Board, RHB Investment Bank wishes to announce that the Offeror has received valid acceptances in respect of the Offer resulting in the Offeror and its PACs holding in aggregate more than 50% of the voting shares of REDtone as at 5.00 p.m. (Malaysian time) on 8 May 2015. As such, the acceptance condition of the Offer has been fulfilled and the Offer has become unconditional on 8 May 2015 (“Unconditional Date”). The Offer will be kept open for a further 14 days from the Unconditional Date, which is in line with the Extended Closing Date. In this regard, the Offer shall remain open for acceptances up to 5.00 p.m. (Malaysian time) on 22 May 2015.

In view of the Offeror and its PACs holding in aggregate more than 50% of the voting shares of REDtone, REDtone is now deemed a subsidiary of Berjaya Corporation Berhad.

Further to the announcement dated 23 October, the Directors of PETONE wish to update on the following legal proceeding  by PETONE and Arus Dermaga Sdn. Bhd. ("ADSB"), a wholly-owned subsidiary of Petrol One Holdings Sdn. Bhd., which in turn is the wholly-owned subsidiary of PETONE:-

The High Court has today allowed the following orders sought vide an application made by Silverline Martime Sdn. Bhd. (“Silverline”):-

(i) that Silverline having been allowed to intervene in the above proceedings be allowed to be exempted from the previous orders granted by the High Court on 22 October 2013, 4 February 2014, 3 June 2012 and any other further Restraining Order granted to PETONE and ADSB;

(ii) that Silverline be exempted from the Scheme of Arrangement which was approved by the High Court on 15 August 2014; and

(iii) that Silverline be allowed to execute the judgement dated 11 June 2014 against PETONE.

The Board will file an appeal to the Court of Appeal and an application for stay of the Order pronounced today by the  High Court in due course.

Further developments of the above matter will be announced on Bursa Malaysia Securities Berhad in due course.
