We refer to the
announcements dated 15 May 2014, 2 July 2014, 17 July 2014 and 14 October 2014
in relation to the Proposals (“Announcements”). Unless otherwise defined, the
abbreviations used throughout this announcement are the same as those
previously defined in the Announcements. The Board of Directors of Lysaght
(“Board”) wishes to announce that the Board had on 17 October 2014, deliberated
and resolved to abort the Proposals after taking into consideration that
Lysaght (Malaysia) Sdn Bhd (“LMSB”), a
major shareholder holding approximately 55% interest in Lysaght has indicated
that they are not in favour of the Proposals through a letter from LMSB dated
13 October 2014 which was received and announced on 14 October 2014, informing
Lysaght that a corporate representative of LMSB, has been authorised and
directed LMSB to vote against any resolution, whether with or without
amendments in relation to the Proposals. This announcement is dated 17 October
2014.

The Board of Directors of Bonia wishes to inform that Daily Frontier Sdn Bhd (“DFSB”), a wholly-owned subsidiary of the Company, has received the electronic archives of the Italian Register of Companies confirming its acquisition of 100% of the quota capital of Bonia Italia Srl (“BIS”) amounting to EUR2,500 from the hands of Mr De Franceschi Gaetano and Mr Matons Augusto Francisco, for an aggregate consideration of EUR1.00 (“Acquisition”) as follow:-
Consequent to the Acquisition, BIS has become a wholly-owned subsidiary of DFSB. BIS was incorporated in Italy with a nominal quota capital of EUR10,000 and is intended to engage in product development, marketing, promotion and design (“R&D”). The rationale for the Acquisition is to expand the Company’s R&D capabilities and production base. The Acquisition was funded by internal resources and is not expected to have any material effects on the earnings or net assets of the Company for the financial year ending 30 June 2015. The Company will provide further updates when there is any material development. None of the Directors and to the best knowledge of the Directors, none of the major shareholders or person connected to them has any interest, direct or indirect in the Acquisition. This announcement is dated 17 October 2014.
