With reference to the announcements dated 20 January 2014, 4 February 2014, 7 March 2014, 11 March 2014, 12 March 2014, 13 March 2014, 27 March 2014, 3 April 2014, 10 April 2014 and 11 September 2014, the Board of Directors of GPlus wishes to announce that GPlus had on 15 October 2014 entered into a Settlement Agreement (”SA or Agreement”) with Dato Seri Krishna Kumar A/L Sivasubramaniam (NRIC No: 700314-08-6351) and Paramalingam A/L J. Doraisamy (NRIC No: 671030-08-5007) practicing under the name and style of Messrs Krish Maniam & Co (“KMC”) for settling the debt owing to KMC.

The salient terms and conditions of the SA are as follows:-

 

1. In consideration of KMC agreeing to accept payment on a deferred basis as provided in the SA, GPlus agrees to pay to KMC as follows:

 

  1. The sum of RM3,500,000.00 ("Settlement Sum A"), if paid within twelve (12) months from the date of  the SA ("First Payment Deadline"); or

  2. The sum of RM4,000,000.00 ("Settlement Sum B"), if paid within twenty four (24) months from the date of  the SA ("Second Payment Deadline")

in full and final settlement of all monies owing by GPlus to KMC as at the date of the SA.

 

2. Settlement Sum A or Settlement Sum B shall be paid as follows:

 

(a) The sum of RM300,000.00 upon execution of the SA; and

 

(b)  In respect of Settlement Sum A, the sum of RM3,200,000.00 on or before the First Payment Deadline; OR

 

(c) In respect of Settlement Sum B:

 

(i) The sum of RM1,700,000.00 on or before the First Payment Deadline; and

 

(ii) The sum of RM2,000,000.00 on or before the Second Payment Deadline.

 

3. In the event GPlus does not pay Settlement Sum A by the First Payment Deadline, GPlus shall be deemed to be liable to make payment of Settlement Sum B to KMC in the manner set out in paragraph 2(c) above. If GPlus does not pay the sum of RM1,700,000,00 by the First Payment Deadline pursuant to paragraph 2(c)(i) above, the whole of Settlement Sum B (less any amount paid by GPlus towards the Settlement Sum prior thereto) shall become immediately due and payable by GPlus.

 

4. As security for GPlus’s payment obligation, GPlus shall simultaneous with the execution of the SA, deliver to a Stakeholder the original share certificates in respect of all the issued shares in each of the company known as Hanpopular Sdn Bhd (1104108-P) (“Company A”) and Venice Heights Sdn Bhd (1104155-A) (“Company B”) which are wholly owned subsidiaries of Sri Serdang Sdn Bhd (26965-D), and which is in turn wholly owned by GPlus, the duly executed transfer form(s) in respect of all the issued shares in each of Company A and Company B in favour KMC’s nominees, and all other documents for effecting the transfer of the shares and control of Company A and Company B to KMC’s nominees (collectively “the Share Transfer Documents”);   Thereafter, the Stakeholder is shall be authorised at any time after receipt thereof to effect a transfer of all the issued shares in Company A and Company B respectively to KMC’s Nominees.

 

5. Upon full settlement of the Settlement Sum by GPlus in accordance with the SA terms, KMC shall deliver to GPlus the transfer forms duly executed by KMC’s Nominees for the transfer of the shares in Company A and Company B respectively to Sri Serdang Sdn Bhd and the duly executed but undated letters of resignation of the directors and company secretary of Company A and Company B and the Stakeholder shall be authorised to release the New Share Certificates, the common seal and documents of Company A and Company B to GPlus.

 

6. KMC shall as soon as practicable after the execution of the SA  record a consent order pursuant to the terms of the SA and thereafter apply for leave of the Court to discontinue/withdraw the Winding Up Petition with no orders as to costs and with liberty to file afresh upon a default by GPlus of the terms of this Agreement and GPlus shall consent to the same.

 

7. If GPlus does not pay Settlement Sum A in full by the First Payment Deadline, or the payment under paragraph 2(c)(i) above, as the case may be, KMC shall be entitled to dispose off all assets held under the name of Company A amounting to approximately RM2,000,000.00 and the sale proceeds shall be utilised towards reduction of the balance sum owed.

 

8. If GPlus does not pay the sum under paragraph 2(c) (ii) above (Settlement Sum B) in full by the Second Payment Deadline, KMC shall be entitled to dispose off all assets held under the name of Company B amounting to approximately RM2,200,000.00 and the sale proceeds shall be utilised to pay off the balance sum owed. Any remaining balance thereof shall thereafter be returned to GPlus.

 

The SA is expected to be completed within 12 months pursuant to Settlement Sum A, or 24 months in the event GPlus elects mode of Settlement Sum B

 

The SA is not expected to have any effects on the share capital and substantial shareholders’ shareholdings. However, the effects on net assets, earnings and gearing of GPlus are restricted to the final settled sum.

 

None of the Directors, major shareholders of GPlus and/or persons connected to them, as defined in the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, has any interest, direct or indirect, in the SA.

 

Copy of the SA is available for inspection at the registered office of GPlus at Suite 7-8, 12th Floor, Wisma Perindustrian, Jalan Istiadat Likas, 88000 Kota Kinabalu, Sabah during normal office hours from Monday to Friday (except public holidays) for duration of three (3) months from the date of this announcement.
