(All capitalized terms herein shall have the same meanings as the definitions contained in EW Berhad’s announcement dated 9 May 2014.) We refer to the announcements dated 9 May 2014, 6 June 2014 and 8 September 2014. We wish to inform that EW Berhad has today announced its expression of interest to subscribe for 1,125,000,000 ordinary shares of RM0.01 each in Eco World International Berhad (“EWI Shares”) together with 1,125,000,000 free detachable warrants at an indicative issue price of RM0.50 per EWI Share for an indicative aggregate consideration of RM562.5 million (“Proposed Subscription”). Having considered the rationale for the Proposed Subscription as set out in the announcement dated 16 October 2014, the Board is of the opinion that the Proposed Subscription is currently the most appropriate means for EW Berhad to venture overseas in a significant manner without over leveraging on the Company’s financial resources. In this respect, EW Berhad has via its letter dated 16 October 2014 informed EW Sdn Bhd that the Company will not deliberate further nor accept the Offer.
